Who Owns Food Label Compliance in OEM? Review Flow, Claims and Liability

In food contract manufacturing, labelling is the point where disagreements surface most readily. The brand owner tends to assume a factory that makes products daily knows the regulations and will catch problems, while the factory considers itself responsible only for printing the artwork it was given. That difference of view is harmless while everything goes well, but once a label is sampled by a regulator, rejected by a retail channel or complained about by a consumer, responsibility becomes a tug of war. The more practical issue is that many label problems are found after printing, and the cost of reprinting, scrapping packaging and delaying launch dwarfs the few extra days a proper review takes. This article covers the review flow, the boundaries of claims and the allocation of responsibility.

Who Owns Food Label Compliance in OEM? Review Flow, Claims and Liability

1. Which label elements go wrong most often

Six categories account for most errors. First, the ingredient list, including compliant naming, descending order by weight of addition, and when compound ingredients must be broken out. Second, the nutrition declaration, where values must match the formula, units must be correct, and any claim must not contradict the numbers. Third, date marking, covering the relationship between production date and shelf life, the required format, and whether the coding area is obscured by graphics. Fourth, allergen information, meaning which ingredients require declaration and in what form, which causes particular trouble on export products. Fifth, the production licence number and the identification of manufacturer and commissioning party, where the rules for commissioned manufacture are explicit about how both parties are shown. Sixth, claims, covering function statements, comparative statements and absolute wording, which are the hardest to judge and the most likely to attract complaints.

2. How the review flow should run

It is worth turning review into a fixed, versioned and signed process rather than a picture sent to a group chat. Five steps. The brand owner submits the full artwork and copy along with the formula and the basis for the nutrition calculation. The factory's regulatory or quality staff perform a technical review focused on the ingredient list, nutrition data, allergens, date format and commissioning party information, and issue written comments. The brand owner responds to each comment, with a revised artwork where design changes are needed. Both parties sign off the final version as the approved label, recording the corresponding formula version and pack specification. Finally, a first-article check before mass printing confirms the printed item matches the approved artwork, including colour, barcode readability and date coding position. Completing all five reduces label risk by an order of magnitude.

3. Where the boundary of a claim sits

Claims demand the most caution, and three dimensions help. The first is factual basis: whether the statement is supported, so a fibre content claim depends on test data and a no-additive claim depends on genuinely excluding that class of substance, judged against the local definition of such wording. The second is the line between functional and medicinal language, since ordinary foods may not claim to treat or prevent disease or to carry a health function in most markets, and wording that implies a change in a body parameter or an effect on an organ sits in high-risk territory. The third is comparative and absolute wording, where superlatives and comparisons without substantiation are tightly restricted in most markets. Export products face an additional layer, because wording permitted in one market may be prohibited in another, so copy cannot simply be carried across.

4. Allocating responsibility in the contract

A workable principle is that whoever holds the information carries the responsibility. The brand owner is responsible for three things: the truth of the formula as actually produced, the substantiation behind claims including test reports, literature and compliance opinions, and the accuracy of commissioning party information. The factory is responsible for three things: printing to the approved artwork without unilateral changes, technical labelling matters under local rules such as ingredient order, nutrition calculation, allergen declaration and date coding, and the validity of its licence and factory information. For grey areas, where the compliance of a claim is open to interpretation, the contract should place the decision and its consequences with the brand owner, while the factory has an obligation to raise written risk comments and keep a record of doing so. This is not a route to factory immunity; it puts each party in charge where its information advantage lies.

5. Why neither party escapes when a label fails

From the regulator's perspective, a non-compliant label usually lands on both the commissioning party and the manufacturer: the brand owner bears primary responsibility as the product responsible entity, while the factory bears responsibility for the production stage, with the split depending on the circumstances. From the retailer's perspective, platforms facing a sampled label failure often act against both parties, through delisting, penalties or terminating the relationship. From the consumer's perspective, the complaint is aimed at the product, and brand reputation suffers fastest. So the argument that the artwork came from the client does not excuse the factory, and the argument that the factory reviewed it does not excuse the brand. Understanding this changes how both sides approach review: it is cheaper to do it properly in advance than to argue about fault afterwards.

6. Three practical recommendations for brand owners

First, move label review forward to the formulation stage. The ingredient list and nutrition declaration both depend on the formula, so any formula change forces a label change, and the later it is found the more expensive it becomes. Label design should start as the formula is finalised. Second, establish version control. Artwork, formula version and packaging version need corresponding identifiers, and any change should go through a change process, with verbal approvals and ad hoc artwork edits ruled out. Third, keep written records of the whole exchange, including review comments, responses, sign-offs and first-article results, because those records are the most direct evidence of responsibility if a dispute arises. Label review looks like one small design step, but it is the gate that decides whether a product reaches the market smoothly, and it deserves dedicated effort in the process.
